AvAirPros was retained in June 1991 as a the business representative and advisor for a group of airlines that were considering the formation of a consortium to provide for the design, construction and operation of the first new passenger terminal at JFK in over 25 years. AvAirPros initially assisted this group of airlines with the evaluation of facility alternatives, financial feasibility, negotiations with the Port Authority of New York and New Jersey and the formation of the consortium. A critical part of these services was the drafting of the airline consortium corporation and partnership documents, the facilities use and lease agreement, evaluation of project financing and the assembly of a project team.AvAirPros coordinated the March 1994 formation of Terminal One Management, Inc. (TOMI) and Terminal One Group Association, L.P. (TOGA) by Air France, Japan Airline, Korean Air and Lufthansa German Airlines. $434 Million of Special Facility Revenue Bonds were sold in July 1994 to finance the project, and a 30-year site lease was executed with the Port Authority, beginning a four-year design and construction period. AvAirPros also provided professional business services during the project implementation period. Services included the management of TOGA and TOMI?s business affairs, management and administration of project funding, cost reporting, project insurance administration, management of legal issues, coordination and implementation of the Terminal One concessions program, creation of cost allocation and rates and charges methodologies and models and the organization of the Executive Director?s Office (EDO). The 11-gate, 635,000 SF facility successfully opened in May 1998. Since DBO, AvAirPros has provided corporate support services to TOMI and TOGA on a continuing basis including general financial support, rates and charges calculation, financial forecasting, interim executive director services, facility marketing, punch-list completion management, capital improvement program management and operational contract evaluation and management. Throughout the Terminal One project, AvAirPros has served to represent the airlines? interests with respect to providing professional insight, guidance and management of various business issues related to the successful development, implementation and operation of JFK Terminal One. As a result, today the airlines enjoy quality facilities at JFK far below originally projected costs.
